WASHOUGAL TIMBER TRAILS ASSOCIATION BYLAWS

2025 

ARTICLE 1 – ASSOCIATION ORGANIZATION  

SECTION 1 – NAME 

The name of the Association is Washougal Timber Trails Association (WTTA), a registered non-profit corporation organized and existing under the laws of the State of Washington. 

SECTION 2 – CAPITAL STOCK 

WTTA shall have no capital stock and no shares shall therefore be issued. 

SECTION 3 - LOCATION 

WTTA is located approximately 14 miles northeast of downtown Washougal, Washington on the Washougal River. The mailing address is 13722 Washougal River Road, Washougal, Washington 98671. 

SECTION 4 - FACILITIES 

A Property and facilities:  Property and facilities, purchased, acquired, leased, held, licensed, owned or operated by WTTA are for the use and enjoyment of WTTA members.  

B Sites:  Sites are areas designated by the Board of Directors for the use of WTTA members in accordance with these Bylaws as adopted by the Membership, and rules and regulations as approved by the Board of Directors. A specific site chosen by a prospective member shall be assigned with each membership and shall entitle the member to the exclusive use of the site, so long as the member is in good standing and has strictly complied with the terms and conditions of the Bylaws and Park Rules as approved by the Board of Directors. Members do not acquire fee simple ownership or leasehold interest in specific sites. 

C Common property:  Common property are areas of land and facilities designated by the Board of Directors for the common use of WTTA members. 

D Usage: Sites are to be used for recreational purposes only, not for permanent residency.  

  1. Every year measured on a fiscal year basis, (October 1st through September 30th), 11-month members must spend a minimum of thirty (30) consecutive days and nights out of the park prior to October 1st at the latest. If there are two members on the certificate(s), they both must be out of the Park at the same time. The site must be vacant for the 30 days. Day trips will only be permitted in the event of an emergency, and with the prior approval of the Caretaker or Property Manager, or by request from the Board of Directors. 

  2. Member(s) are required to submit a WTTA 30 Day Out of Park Form (See Appendix D – Forms) in advance of their 30 days out. Member(s) who have not submitted the form nor left the park for their thirty (30) consecutive days and nights by October 1st will be automatically suspended without due process for the month of October and will be required to pay a reinstatement fee and a daily fine for non-compliance of this Bylaw. The reinstatement fee and the daily fine are specified in the attached Appendix A. 

  3. Members who are present at the park full-time for more than 6 months must pay an additional monthly charge as detailed in the attached Appendix A.  

  4. Members who come and go throughout the year are not subject to either the 30-day Out of Park requirement or the Extended Stay Charges. 


ARTICLE II – MEMBERSHIP 

 SECTION 1 – MEMBERSHIP 

A Membership:  A membership shall constitute a certificate granting the holder of such membership the right to the exclusive use of a designated site. Members acquire no fee ownership, leasehold, easement, or any possessory interest in any of the lands, sites, or other things whatsoever owned or controlled by WTTA. All groups or organizations of any kind may not obtain membership in any form. 

B Membership interest held as security:  Any person, firm, corporation or entity who holds a membership interest just as security for a debt or obligation is not considered a member of the organization. 

C Membership equity:  A certificate of membership in WTTA conveys no fee title to the site but provides the owner of the membership with an undivided interest in the Association assets and liabilities. Members are stewards of their site(s). They do not own the land. 

D Membership entitlements and privileges: Membership in WTTA accords all the entitlements and privileges herein set and binds each Member to uphold and comply with these Bylaws as duly adopted, sanctioned and ratified by majority vote of members present. 

E Membership Conduct, Grievances, Disputes and Claims: 

  1. Any member whose behavior is determined by the Board of Directors to be egregious in nature, or who exhibits a threatening manner toward any member or agent of WTTA, is subject to fines, suspension and/or termination of Membership. 

  2. Any member having a grievance with another member shall: 

  3. First attempt to settle the issue with the individual(s) involved.  If this doesn’t mutually resolve the issue, a written grievance complaint should be completed and submitted to the WTTA Board of Directors with a request for a hearing before the Board at its next scheduled Board meeting.  After hearing testimony from the involved parties, the Board will render a decision which will be final unless the member wishes to appeal the decision.  

  4. If the member wishes to appeal the decision of the Board of Directors, they may do so by writing to the WTTA Board of Directors within 30 (thirty) days of that decision, requesting a hearing before the general membership at the next Annual Meeting or a special meeting for that purpose.  

  5. Members are encouraged to utilize WTTA Bylaws and Rules in concert with the Board of Directors to resolve a grievance prior to contacting any County, State or Federal Agency.  If the dispute cannot be resolved by these means, both parties may choose to settle the dispute by mediation.  If mediation is not successful, the members may choose to pursue arbitration under the Uniform Arbitration rules of the State of Washington before any grievance, dispute or claim may become the subject of litigation in the courts.      

 F Membership Communication: Email is the preferred means of correspondence for all general membership matters, communications from committees, and communications from the Board of Directors to the membership. Member correspondence may also be in the form of a written letter, addressed to the Board of Directors at 137222 Washougal River Road, Washougal, WA 98671 or hand-delivered to a Board Member.

SECTION 2 - REQUIREMENTS FOR MEMBERSHIP 

A Eligibility:  Memberships are subject to an application process which includes but is not limited to a credit and background check. Memberships are not automatic. They must be either approved or disapproved based on the results of the credit and background check and other required documents. All individual applicants for membership must be at least eighteen (18) years of age.  

B Jointly Owned Memberships: Memberships may be jointly owned. Jointly owned is defined as no more than two people per membership. In the event the membership is jointly owned, both members shall have equal privileges, equal responsibility for dues, charges and assessments. Each membership is granted voting rights within the association, provided the membership remains in good standing. Regardless of whether one or two members names are on a membership certificate, only one vote may be cast. Owning multiple, non-contiguous or contiguous sites does not constitute an additional membership vote. 

C Board Review: The Board of Directors reserves the right to review all applicants’ eligibility including any and all documents submitted for the potential transfer of membership, and to deny membership if the requirements are not met. If an otherwise qualified applicant’s membership is not approved by the Board of Directors, the applicant(s) may appeal to the general membership for approval at a special meeting called for that purpose. The approval requires a two-thirds vote of the membership. 

D Member in good standing:  A member is in good standing if their account payment is received by the Treasurer by October 31st of each year for dues, assessments and/or other charges – and – if their membership rights are not currently under suspension or termination as provided by the due process stated within these Bylaws. 

 SECTION 3 - RESPONSIBILITIES AND LIABILITIES 

A Definition of Guest and Host Responsibilities:  Any person other than the member or their dependent children (under (18) eighteen years of age) is a guest. The member is responsible to see that their guests comply with WTTA Rules and Regulations. Guests shall have no membership rights. 

B Damage or Destruction:  Damage or destruction of any kind done by a member, their family or guests, whether to WTTA property or to the personal property of another member, is the sole financial responsibility of the member. Such damage or destruction may subject the membership to suspension or termination as determined by the Board of Directors. 

C Discharge of Black Water:  Any member, member’s family or their guests discharging black water in any unapproved manner will be   immediately suspended for a period of thirty (30) days and will be required to pay a fine and reinstatement fee as detailed in Appendix A and B  Any further abuse will result in immediate termination of membership. THIS IS A SKAMANIA COUNTY HEALTH DEPARTMENT REGULATION. Any violation could close the park; therefore, the normal due process procedure of the Association will not apply. 

D Legal fees and other costs:  In the event that legal action between two or more members results in WTTA being named as a necessary party, then the losing member(s) in the suit shall reimburse WTTA for its attorney's fees and costs. Reimbursement of legal costs incurred by WTTA related to collection of delinquent accounts, unpaid assessments, suspension or termination proceedings will be the responsibility of the affected member(s). 

SECTION 4 - TRANSFER OR SALE OF MEMBERSHIP 

A Transfer or Sale of Membership:  A membership may be transferred, assigned or conveyed by inheritance, gift or sale, provided that WTTA shall not be required to recognize any such sale or transfer to another unless and until all dues, fees, and assessments then due and owing are paid in full, and the transferred membership then and otherwise strictly complies with the terms and conditions of WTTA's Bylaws, and its Rules and Regulations. Transfer or sale of a membership can be to no more than two people. 

B Contract Sales:  When a member sells their site under contract, the seller may remain on the contract with the buyer to assure timely payment of the contract, dues and other membership fees. Upon issuance of the new membership certificate, the new member assumes the voting rights and responsibilities for the site stewardship. If the sale involves two new members, both may be on the certificate with the seller until the contract is paid. This is the only exception to the provision in Section 2 B and Section 4 A regarding joint membership. When the contract is paid, a new certificate must be issued without the seller’s name.  

C Documentation: The members selling or transferring the site must present all required paperwork and surrender their certificate(s) at the closing meeting to the Secretary or the Treasurer, or a new certificate will not be issued.  

D Transfer Fee and Name Change Fee:  Transfer fees will be charged per site for all site sales. A separate certificate will be issued for each site. Name changes are also subject to a fee per site.  See Appendix A.   

SECTION 5 - DISSOLUTION OF ASSOCIATION 

A Members Rights Upon Dissolution of the Association:  In the event of dissolution of WTTA, the rights and interests of members of WTTA are controlled and set forth in the Revised Code of Washington. 

ARTICLE III – ANNUAL BILLING OF DUES AND OTHER CHARGES 

 SECTION 1 - DUES, ASSESSMENTS AND OTHER CHARGES 

A Annual Billing: The invoice for each membership shall consist of the annual dues and deck taxes, plus any assessments determined by the budgetary process and approved by a majority of the members voting at a regular or special meeting called for that purpose. The annual dues invoice shall be due and payable on October 1st of each year. If not paid by October 31st of that year, the account is considered delinquent and late fees will accrue (See Late Payments, below). Dues are charged per site. Current membership dues, excluding deck taxes and any special assessments or charges, are listed in Appendix A.  

B Multiple Sites and Grandfathered Sites:  Members owning additional contiguous or non-contiguous sites must pay additional dues for each additional site. Charges for additional sites, specific grandfathering situations, and Extended Stay (more than 6 months) usage are detailed in Appendix A. 

C Late Payments:  In the event dues, fees, and assessments are not paid by October 31st of the year invoiced, a late fee will be charged each month until the invoice is paid in full, as detailed in Appendix A. A listing of all delinquent accounts will be posted on the Lodge Bulletin Board.  


ARTICLE IV - SUSPENSION OR TERMINATION 

 SECTION 1 – SUSPENSION OR TERMINATION 

A Reasons for Suspension or Termination: The Board of Directors shall be entitled to suspend or terminate any membership after due process for any of the following: 

  1. Any violation of the Bylaws or Park Rules. 

  2. Nonpayment of fees, dues, assessments, charges and/or late fees. 

  3. Being charged with or convicted of crimes involving child molestation, child abuse, child pornography, selling of illegal drugs or narcotics, whether considered misdemeanors, gross misdemeanors or felonies, or of any conviction of any felony under the laws of the United States, or any State or country, regardless of where the felony occurred or where the charge is pending. 

  4. Members who allow use of WTTA by family or guest charged or convicted as described in 3. above, or are on probation or parole for crimes described in 3. above. 

SECTION 2 – DUE PROCESS PROCEDURE  

A Notice:  The Board of Directors will send a written notice to the member, stating the reason(s) that their membership is being reviewed for suspension or termination. The notice will detail any and all violations, as well as all possible measures that may be taken with respect to retaining their membership. Notice will also be sent by email. 

  1. All written notices concerning a member’s suspension or termination will be mailed as certified mail, return receipt requested, to the member’s address of record. If the US Postal Service states that certified mail may not get a return receipt from an apartment address, and they recommend registered mail, this is an acceptable method.  

  2. If the issue is not resolved within thirty (30) days, the Board will send another written notice to the member, informing them that a special meeting of the Board of Directors will be held at a specific date, time and place to review their membership status.  

B Board of Directors Meeting:  The member shall be entitled to representation by counsel of their choice and have the further right to present witnesses on their own behalf.  

  1. At the meeting, the President shall read a list of the violations and then take testimony from concerned parties. After hearing all testimony, the Board of Directors shall make the decision as to the status of the membership. 

  2. Any termination or suspension of membership rights in excess of six months shall require a unanimous vote of the Board of Directors. The decision shall be presented to the member in written form and by email. 

C Appeal:  Any suspension for longer than six months or termination of membership rights can be appealed to the entire membership. A member may appeal the Board’s suspension or termination decision by sending an email or written letter to the President within one month of the Board’s notification of their decision, requesting a Special Meeting of the WTTA Membership to vote to approve or disapprove the decision. 

  1. If the Board is notified that the member wishes to appeal the decision, the Board will send an email to all WTTA members to notify them of the Special Meeting, stating the date, time and location of that meeting. It will also be posted on the bulletin board at the Lodge. 

  2. At the Special Membership Meeting, the President will read a list of the violations and take testimony from concerned parties. The Member shall be entitled to representation by counsel of their choice and the further right to present witnesses on their behalf. After hearing all testimony, the members present shall vote by show of hands as to the status of the membership. Any termination or suspension of membership rights in excess of six (6) months shall require a two-thirds vote of the members present. 

D Suspension of Membership:  Any member who is suspended shall have thirty (30) days to resolve the situation that resulted in their suspension, prior to reinstatement, and shall be required to pay a reinstatement fee as specified in Appendix A.  

E Termination of Membership:  If a member is terminated, the terminated member becomes automatically ineligible for future membership at WTTA. In the event of termination of one of the members of a jointly held membership, the membership as a whole will revert to the member in good standing. The terminated member will not be allowed to enter the park as a guest. 

  1. Upon termination of membership, the subjected Member will be allowed ninety (90) days in which to sell their membership and discharge all obligations owing to the Association in accordance with the Bylaws. 

  2. Upon the failure of the Member to complete the sale of their membership and the discharge of their obligations, all rights to sell their membership shall revert to the Association in return for which the terminated member is relieved of all obligations owing to the Association. 

 

ARTICLE V – CORPORATE POWERS 

SECTION 1 - MEMBERSHIP CHARGES 

The Board of Directors shall take appropriate steps to ensure the establishment and collection of charges for goods and services.  

SECTION 2 - ANNUAL MEMBERSHIP DUES 

Annual dues may not be increased by the Board of Directors without first having obtained the approval of a majority of the voting members voting at any Annual or Special Meeting of the members called for that purpose. In addition to dues, other projected revenue sources based on budget history may be used for the annual financial requirements, however it is the intent and purpose that the annual dues shall be sufficient to pay all the aforesaid expenses. These other revenue sources may not include restricted, designated or committee funds. 

 SECTION 3 - DAMAGES AND CITATIONS 

A Damages: WTTA shall have the power to assess a member for damage caused by the member, member’s family or member’s guests. The payment of costs incurred by the WTTA to repair the damage is due upon receipt of the invoice for the repairs. If not paid within thirty (30) days of the invoice date, WTTA may take action to collect.  

B. Citations: WTTA shall have the authority to cite members for violations of the Bylaws and Rules by a member, member’s family or member’s guests and to assess fines for such violations. The Board of Directors has established an Appendix B Fine Schedule. 

 

ARTICLE VI - THE BOARD OF DIRECTORS  

SECTION 1 - MANAGEMENT 

The business and property of WTTA shall be managed by a Board of seven (7) Directors. The Board shall be comprised of a President, Vice President, Treasurer, Secretary, and three (3) At-Large Board members. The Board shall have full power and authority to appoint and remove at its discretion all agents and employees of the Association and to prescribe their duties and fix their compensation. Jointly held memberships, significant others and immediate family members cannot hold concurrent Board of Directors positions.  

SECTION 2 - ELECTION 

The Directors of the Association shall be elected by a majority vote of the members present at the Annual Meeting of the Membership. 

SECTION 3 - TERM OF OFFICE 

Board Members’ term of office shall be three years, with the exception of one of the At-Large Members, who serves a one-year term, renewable indefinitely. Each year, two of the remaining six Board members’ terms will expire, assuring a smooth transition of Board leadership. 

A All past Board Members of the Association shall be entitled to sit for one year on the Board of Directors as Honorary Members of the Board, after the expiration of their term.   

SECTION 4 - MEETING REQUIREMENTS 

The Board of Directors of the Association shall hold meetings quarterly and will schedule additional special meetings as needed for the competent management of the affairs of the Association. 

SECTION 5 – VOTING Each member of the Board of Directors may cast one vote in the matters coming before the Board. All votes at Board meetings must be in person. When necessary, because of time constraints, the Board may vote by email for certain matters. Four members of the Board constitute a Quorum. 

SECTION 6 - REMOVAL OF DIRECTOR  

Any Director may be removed from office by a majority vote of the members present at any regular or special meeting of the membership. Notice of the proposed removal of a Director must be given to the said Director prior to the date of the meeting at which such removal is to be voted upon. Such notice to the Director must state the cause for the proposed removal. 

SECTION 7 - UNEXCUSED ABSENCE 

Unexcused absence from two consecutive meetings of the Board of Directors shall be due cause for removal of a Director. 

SECTION 8 - BOARD VACANCIES 

Any vacancy occurring on the Board, by reason of death, resignation, or removal of a Director shall be filled by a majority vote of the Board of Directors. The appointee shall serve during the unexpired term of the Director whose position has been vacated. 

SECTION 9 - ELECTION OF OFFICERS 

Within a reasonable time after their election, the Members of the Board shall elect the following officers: President, Vice President, Secretary, Treasurer, and any other necessary positions. 

SECTION 10 - AUTHORIZATION OF BOARD TO PROPOSE RULES AND REGULATIONS 

The Board of Directors is authorized to propose any rules and regulations concerning the use of the facility, conduct of members, etc.  However, such rule and regulations proposals are subject to discussion and ratification at the Annual Membership meeting. 

SECTION 11 – BOARD AND PROPERTY MANAGER EXPENDITURES  

A Board of Director Expenditures: All Board members are authorized to pay normal and customary operating expenditures for the operation of WTTA property.  Normal and customary operating expenses would be those necessary for the operation of WTTA owned property, including but not limited to taxes, insurance, utilities, office, cleaning and yard supplies. Other expenditures which benefit the Association are allowed up to $100.00 without prior approval of the Board.   

B Property Manager Expenditures: The Property Manager is authorized to commit the Association for an amount up to $300.00 for emergency expenditures without prior approval of the Board. 

C Purchases Other than Real Property: The Board of Directors shall have the power and authority to purchase or acquire property, other than real property, which they deem to be in the best interest of the Association within the scope of the Budget. All capital purchases or leases not within the scope of the Budget, unless of an emergency nature, must be specifically identified to the membership for approval. 

D Bids: All acquisitions with a value in excess of five thousand dollars ($5,000) must be based on three (3) bids, if possible. Purchase will be from the lowest bidder, if the quality is acceptable. 

SECTION 12 - PROTECTION OF DIRECTORS AND OTHERS  

No member of the Board of Directors of WTTA or of any duly appointed Committee of WTTA shall be personally liable to any member or other person, or to the Association for any error or omission while acting or purporting to act in good faith in the course of duties as a Director or Committee member. 

SECTION 13 – COMPENSATION  

A No Salary or Hourly Wage: Members of the WTTA Board of Directors do not receive any salary or hourly wage for their time spent performing the duties of their Office. 

B Membership Dues Credit: In return for services rendered, the President, Secretary, and Treasurer shall receive credit for Membership dues for one site for each year of service.  

C Work Party Credits: In return for services rendered, all Board members are not required to participate in Work Parties and will not be fined for not participating.  

 

ARTICLE VII - DUTIES OF OFFICERS  

SECTION 1 – PRESIDENT 

The President of the Board of Directors shall oversee all activities of the Association, preside over the Annual Membership Meeting and Board Meetings of the Association, convene other meetings of the membership as necessary, and perform other duties typically associated with the office. The President shall have the power and authority to sign with the Secretary all the certificates of membership of WTTA. The President shall also sign with the Secretary all deeds and contracts, which shall be properly authorized by the Board of Directors.  

SECTION 2 - VICE PRESIDENT 

The Vice President of the Board of Directors shall act for the President in their absence and perform other such acts as the President may direct. In the event the Office of the President becomes vacant for any reason, the Vice President shall thereupon assume the duties of the President and act as such for the unexpired portion of the term for which the duly elected President was serving. In the event such contingency arises, the Board of Directors shall, by majority vote, elect one of its members as Vice President to serve until the next Annual Meeting of the Board of Directors. 

SECTION 3 - SECRETARY 

It shall be the duty of the Secretary of the Board of Directors to keep all records of the Board and of the Association and to perform other such acts as the President may direct. The Secretary shall sign, with the President, all certificates of membership of WTTA. The Secretary is also responsible for maintaining and updating the WTTA website. In the event the office of the Secretary becomes vacant, the Board of Directors shall, by majority vote, elect one of its members as Secretary to serve until the next Annual Meeting of the Board of Directors.  

SECTION 4 - TREASURER 

The Treasurer shall receive and be accountable for all funds belonging to the Association, shall pay all obligations incurred by the Association when payment is authorized by a majority vote of the Board of Directors, maintain bank accounts in depositories designated by the Board, and render financial reports. In the event the office of the Treasurer becomes vacant, the Board of Directors shall, by majority vote, elect one of its members as Treasurer to serve until the next Annual Meeting of the Board of Directors. 

 

ARTICLE VIII - PROPERTY MANAGER 

A The Board of Directors shall appoint a Property Manager at the Annual Membership Meeting in June. The minimum term of service is one (1) year and can be extended at each Annual Meeting upon approval by the Board of Directors and with the mutual consent of the Property Manager. In return for services rendered, the Property Manager shall receive credit for Membership dues for one site for each year of service.  

ARTICLE IX – COMMITTEES  

A Establishment of Committees: The Board of Directors, by majority vote, shall have the power and authority to establish committees and appoint Chairpersons of committees. No committee will be recognized as representative of WTTA unless they are approved by the Board.  

B Committee Expenditures: No committee is authorized to spend or obligate WTTA funds without prior approval of the Board of Directors. If prior approval is not obtained, the expenditures become the sole and personal obligations of the committee. 

ARTICLE X - MEETINGS  

SECTION 1 - ANNUAL MEETING  

A Notice: The Annual Meeting of the membership of WTTA shall be held on the first (1st) Saturday of June of each year upon a fourteen (14) day written notice by the Board of Directors. The notice of the meeting shall be deemed to be delivered when deposited in the United States mail, addressed to the member at their address as it appears on the records of the Association, with the postage thereon prepaid. 

  1. The Notice of the meeting may instead be sent by email from the Secretary or other board member. If an email is returned unsent, the member will be notified immediately by phone or correspondence delivered by US Mail or hand delivered.  

  2. The announcement and Ballot Measures will also be posted on the bulletin board at the Lodge. 

B Absentee Voting: Members may submit an Absentee Ballot to vote for the Annual Meeting Ballot Measures, but not for the Board of Directors positions, as those nominations are received from the floor on the day of the Annual Meeting and cannot be included in the Absentee Ballot.   

  1. Requests for an Absentee Ballot must be received by the WTTA Secretary in writing, thirty (30) days before the scheduled Annual Meeting. The request may be in the form of a letter sent by USPS mail, or sent by email to WTTA-Secretary@Outlook.com.  

  2. Ballots must be returned by USPS mail to the Secretary at the WTTA mailing address, or by email to WTTA-Secretary@Outlook.com, by the date of the Annual Meeting.       

SECTION 2 - SPECIAL MEETINGS 

Special meetings of the WTTA membership may be called at the discretion of the Board of Directors upon the same fourteen (14) day notice. The notice of the meeting shall be deemed to be delivered when deposited in the United States mail, addressed to the member at their address as it appears on the records of the Association, with the postage thereon prepaid. Notice of the meeting may be sent by email from the Secretary or other board member in lieu of sending it in a letter. If an email is returned unsent, the member will be notified immediately by phone or correspondence delivered by US Mail or hand delivered. 

SECTION 3 – QUORUM AND VOTING 

A Quorum:  At any meeting of the WTTA membership, quorum shall be defined as one-tenth of memberships represented in person at the meeting. For this purpose, membership shall be defined as one certificate holder of one or more sites, even if there are two names on the certificate(s). Members present shall be entitled to one vote per membership, not per site. A quorum must be present for voting to take place. 

B Voting:  When a quorum is present, a majority of votes cast by the memberships present at a meeting or submitted by Absentee Ballot shall be necessary for the adoption of any matter voted upon, unless a greater proportion is required by law. Any dues, fees, assessments, charges, or changes voted in by a majority become the responsibility of all WTTA members. 

ARTICLE XI - TREASURERS REPORT 

 The Treasurer's Report shall be posted on the Lodge Bulletin Board each quarter. It shall include at a minimum a current statement of financial conditions (assets, liabilities and equity) and a current profit and loss statement reflecting both the quarter and year-to-date information. 

ARTICLE XII – AUDIT  

All financial records of WTTA are subject to an annual audit by a duly appointed committee appointed by the Board at any time as deemed necessary. When an audit is performed, the results of the audit will be summarized in a written report and presented to the Board and to WTTA members.  

 

ARTICLE XIII – BYLAW and RULE AMENDMENTS  

SECTION 1 - BOARD PROPOSALS 

The Board of Directors may propose amendments to these Bylaws and Rules by a majority vote of the Board taken at a regular or special meeting of the Board of Directors. 

SECTION 2 - MEMBER PROPOSALS 

A Petition: Members may propose amendments to these Bylaws and Rules by submitting a petition signed by a member in good standing to the WTTA Secretary sixty (60) days prior to an Annual or Special Meeting of the membership. 

B Approval: The Board of Directors shall have final approval or disapproval of all recommended proposed Bylaws and Rules changes submitted by members before a vote is allowed. This is to verify the legality of the proposed Bylaw or Rule. Any which are in conflict with the requirements of Skamania County or the State of Washington, and/or not in the best interest of The Association shall be returned with explanation to the Submitting member for review and/or rewrite.  

SECTION 3 – RATIFICATION OF AMENDMENTS 

A Amendments proposed per Sections 1 and 2 of this Article shall be presented to the membership at the next Annual Meeting or at a Special Meeting called for such purpose. 

B The proposed amendments shall be posted on the Lodge bulletin board and on the WTTA website at least thirty (30) days prior to the membership meeting. 

C Proposed amendments to WTTA Bylaws or Rules cannot be modified from the floor and must be accepted or rejected as proposed. 

D Proposed amendments to WTTA Bylaws or Rules shall be ratified by a majority vote of the membership, voting in person or by absentee ballot, at an Annual Meeting or Special Meeting called for such purpose. 

E Bylaw and Rule amendments will become effective immediately upon approval by the WTTA membership at any Annual or Special meeting of the membership and shall be binding on the Board of Directors and the membership.
